These Terms and Conditions ("Terms") form a binding agreement between you ("User," "you," or "your") and MANAGAIR, LLC ("ManagAir," "we," "us," or "our"), a company formed in the State of Montana, governing your access to and use of the ManagAir web application, associated services, and any related content (collectively, the "Service").
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
ManagAir is a software application that helps general aviation aircraft owners track flight logs, maintenance items, squawks (discrepancies), operating costs, expenses, calendar events, and related aircraft records.
ManagAir is a record-keeping and organizational tool. It is not:
A replacement for FAA-required aircraft maintenance records, logbooks, or airworthiness documentation.
A substitute for inspection, maintenance, or airworthiness determinations made by a certificated mechanic, Inspection Authorization (IA) holder, or repair station.
A source of authoritative regulatory or safety guidance.
A guarantee that any aircraft tracked in the Service is safe, airworthy, or in compliance with any regulation.
You, the aircraft owner or operator, remain solely and fully responsible for:
Maintaining the aircraft's official maintenance records and logbooks in whatever form is legally required.
Verifying the accuracy of any data displayed in the Service before relying on it for any maintenance, dispatch, or airworthiness decision.
Complying with all applicable FAA regulations and manufacturer requirements, independent of anything shown or not shown in the Service.
The Service is provided as a convenience and organizational aid only. Nothing in the Service constitutes maintenance sign-off, airworthiness certification, or regulatory advice.
You must be at least 18 years old and able to form a binding contract to use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate information when creating your account and to keep it up to date.
You may not share your account with others outside of the Service's built-in aircraft-sharing features.
The Service is offered on a subscription basis at a flat rate of $49/month or $99/month ("Subscription Fee"), unless a different rate is agreed in writing (e.g., a founding-member or promotional arrangement).
The Subscription Fee covers access to the ManagAir application. Any additional aviation management, maintenance coordination, brokerage, or advisory services provided by True North Aviation beyond the app itself are governed by a separate services agreement and are not included in the Subscription unless explicitly stated in writing.
Billing: Fees are billed in advance on a recurring monthly basis via Stripe.
Cancellation: You may cancel your subscription at any time. Cancellation stops future billing; no partial-month or prorated refunds are provided for the current billing period.
No Refunds: All fees paid are non-refundable except where required by law.
Price Changes: We may change the Subscription Fee for future billing periods with at least 30 days' advance notice. Continued use after a price change takes effect constitutes acceptance of the new price.
Free Trials / Founding Member Terms: Any free trial period, founding-member pricing, or promotional terms will be described separately at the time they are offered and are governed by those specific terms in addition to this Section. Theses non standard memberships will be at the discretion of ManagAir and can be terminated, or modified at any time.
You retain ownership of the flight, maintenance, aircraft, and other data you input into the Service ("User Content").
You grant ManagAir a non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service.
You represent that you have the right to submit any User Content you upload (including documents, logbooks, and images) and that doing so does not violate any third party's rights.
We may use aggregated, de-identified data (not attributable to you or your aircraft) to improve the Service or for internal analytics.
Upon account termination, we will make reasonable efforts to allow you to export your data for a limited period before deletion, as further described in our Privacy Policy.
The Service may allow you to share aircraft data with other users (e.g., co-owners, partners, pilots, mechanics).
You are responsible for managing who you share access with. ManagAir is not responsible for actions taken by users you have granted access to.
Shared users may be able to view or, depending on permission level, edit shared aircraft data. Exercise judgment before granting edit-level access.
You agree not to:
Use the Service for any unlawful purpose or in violation of any FAA regulation.
Attempt to access another user's account or aircraft data without authorization.
Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
Use automated means (scraping, bots) to access the Service without our written permission.
Upload false, fraudulent, or intentionally misleading maintenance or flight data.
Interfere with or disrupt the integrity or performance of the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
The Service will be uninterrupted, error-free, or secure;
Any data displayed (including maintenance due dates, hours remaining, or calculated costs) is accurate, complete, or current;
Defects will be corrected.
YOU ACKNOWLEDGE THAT SOFTWARE DEFECTS MAY OCCUR (INCLUDING BUT NOT LIMITED TO DISPLAY, SYNC, OR SHARING ISSUES) AND THAT YOU MUST INDEPENDENTLY VERIFY ANY SAFETY- OR COMPLIANCE-RELATED INFORMATION AGAINST YOUR AIRCRAFT'S OFFICIAL RECORDS RATHER THAN RELYING SOLELY ON THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT WILL MANAGAIR, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR DAMAGES RESULTING FROM AIRCRAFT DOWNTIME, MISSED MAINTENANCE, OR REGULATORY NON-COMPLIANCE, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
NOTHING IN THIS SECTION IS INTENDED TO LIMIT LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
You agree to indemnify and hold harmless ManagAir and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation, including FAA regulations; or (d) any maintenance, dispatch, or airworthiness decision you made in reliance on data from the Service without independent verification.
ManagAir is offered by True North Aviation but is a distinct product from True North's aircraft management, sales, and charter services. Use of the ManagAir app does not create an aircraft management, agency, or advisory relationship with True North Aviation. Any such services must be established under a separate, explicit services agreement.
You may terminate your account at any time by emailing support at managairapp@gmail.com.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for non-payment.
Upon termination, your right to use the Service ends immediately. Sections 4 (Data), 7 (Warranties), 8 (Liability), 9 (Indemnification), and 13 (Dispute Resolution) survive termination.
The Service, including its software, design, and branding, is owned by MANAGAIR, LLC and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
Please read this section carefully, it affects your legal rights.
Agreement to Arbitrate: Except for claims that qualify for small claims court, you and ManagAir agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court.
Class Action Waiver: You and ManagAir agree that any arbitration or claim will be conducted only on an individual basis and not as a class, consolidated, or representative action.
Location: Arbitration will take place in Bozeman, Montana, or another mutually agreed location, or may be conducted remotely/by written submission where permitted by the arbitration rules.
Opt-Out: You may opt out of this arbitration agreement by notifying us in writing within 30 days of first accepting these Terms, at managairapp@gmail.com.
These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-laws principles, except where superseded by the Federal Arbitration Act as to Section 13.
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., via email or in-app notification) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Entire Agreement: These Terms, together with our Privacy Policy and any separate services agreements, constitute the entire agreement between you and ManagAir regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Our failure to enforce any right or provision is not a waiver of that right.
Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
